Terms of the elixxier Partner Program

1. Participation, Conclusion of Contract

Participation in the partner program of elixxier Software GmbH is open exclusively to entrepreneurs within the meaning of Section 14 of the German Civil Code (BGB) — natural or legal persons or partnerships with legal capacity acting in the exercise of their commercial or independent professional activity; this includes small businesses within the meaning of Section 19 of the German VAT Act (UStG). Participation as a consumer is excluded. By registering, the partner confirms their entrepreneur status. Registration via the partner form constitutes an offer to conclude this agreement; the contract comes into effect upon activation by elixxier. There is no entitlement to participation or activation. Complete and accurate details are required for payouts (name/company, address, country of residence, tax number or VAT ID, VAT status — e.g. small business under Section 19 UStG — and a payout method). The partner shall report changes to these details — in particular country of residence, entrepreneur status, VAT ID or payout method — without undue delay via the partner portal; the partner is responsible for the consequences of a failure to do so.

2. Commission and Attribution

All referred sales in the elixxier online shop are commissionable — full versions as well as upgrades, renewals and add-ons. The commission amounts to 20 % of the net product value (after discounts, excluding VAT and shipping) per successfully paid sale. Orders in foreign currencies are converted into euros at customary market reference rates (as of the order date) for commission calculation.

Attribution takes place via the personal partner link (tracking cookie, up to 90 days — the actual duration may be shorter due to the buyer’s browser settings or restrictions) or via the personal discount code; where several partner links are involved, the last click counts. If both a partner link and another partner’s discount code are used for a purchase, the sale is attributed to the owner of the discount code. A specific technical success of attribution is not owed where circumstances beyond elixxier’s control (e.g. ad blockers, the buyer’s browser or consent settings) prevent tracking. Commissions arise only on sales to third parties; purchases via the partner’s own account or with their own code are not remunerated.

3. Performance Bonuses

In addition to the commission, the partner receives, per calendar month and for each performance tier reached, a one-time bonus as follows: from 10 commissionable sales +€10, from 20 sales a further +€20, from 50 sales a further +€100, from 100 sales a further +€250, from 250 sales a further +€700, from 500 sales a further +€1,500, from 750 sales a further +€3,000. Only fully paid, non-cancelled commissionable sales within the respective calendar month count; the bonuses of all tiers reached are added together. Bonuses are released, settled and paid out in the same way as commissions. If underlying sales subsequently lapse (section 5) and a tier is thereby no longer reached, the respective bonus lapses; offsetting as with commissions. elixxier may adjust the bonus scale with effect for future calendar months (section 10).

4. Discount Codes

Personal discount codes grant a 10 % discount on the entire product range, cannot be combined with other coupons, and are limited in time (self-created codes: 60 days; a maximum of three simultaneously active codes). The codes are intended for the partner’s own channels (e.g. website, social media, newsletter). Posting or distributing codes on voucher, deal or cashback portals is prohibited. In the event of violations of this section or section 6, affected codes may be deactivated, commissions arising from them cancelled, and the partnership terminated in accordance with section 7. Codes may be replaced (rotated) for security reasons.

5. Release, Payout, Reversal

A commission is recorded upon receipt of full payment and released 14 calendar days thereafter, provided the purchase has not been cancelled, refunded or charged back by then and no proven violation of these terms exists.

Payouts are generally made monthly between the 1st and 5th calendar day once the released balance reaches €100. Smaller balances are carried forward. If no new commissions are credited to a partner over a period of 36 months and the balance remains below €100, it lapses subject to a 30-day notice period.

Settlement takes place via the self-billing (credit note) procedure: the parties hereby agree pursuant to Section 14 (2) of the German VAT Act (UStG) that elixxier, as recipient of the service, settles the commission by way of a credit note. The partner reviews each credit note and objects without undue delay if it is incorrect. For partners registered as small businesses (Section 19 UStG), no VAT is shown on the credit note. For entrepreneurs established abroad, the reverse-charge mechanism is applied where the statutory requirements (Sections 3a, 13b UStG) are met; the partner’s details pursuant to section 1 are decisive. Payouts are made in euros via Wise or PayPal to the payout method on file; conversion and receiving fees of the payment provider are borne by the partner.

If a referred purchase is refunded, cancelled or charged back in whole or in part, the associated commission lapses in whole or proportionally. Amounts already paid out are offset against future commissions; where offsetting is not possible, they must be repaid.

6. Partner Obligations

The partner advertises factually and truthfully and labels promotional content in accordance with statutory requirements (e.g. as advertising). The following in particular are prohibited: misleading advertising, electronic advertising without the recipients’ required consent (spam), placing search-engine ads on the brands “elixxier” and “set.a.light” (brand bidding), and any unlawful or reputation-damaging promotion. Promotional material is provided via the partner dashboard.

Partner links and discount codes are intended for use in the partner’s own content that deals substantively with set.a.light 3D, lighting or photography (e.g. reviews, tutorials, videos, workshops, newsletters). Pages or posts whose essential purpose is to pass on discount codes are not permitted, in particular content that targets search queries for “elixxier” or “set.a.light” in combination with terms such as “discount code”, “coupon”, “voucher” or “promo code” without offering such content of its own. Upon notice from elixxier, the partner shall, within 14 days, adapt individual content that does not meet these requirements or remove the discount code from it.

7. Term and Termination

The partnership runs for an indefinite period and may be terminated by either party at any time in text form. No new commissions arise after termination. For remaining balances, the payout and lapse provisions of section 5 continue to apply after termination of the partnership.

In the event of proven intentional abuse, in particular through self-purchases, manipulation or code abuse, the commissions arising therefrom that have not yet been paid out may be cancelled.

8. Liability

elixxier is liable without limitation for intent and gross negligence as well as for injury to life, body or health. In cases of simple negligence, elixxier is liable only for the breach of essential contractual obligations (cardinal obligations), limited to the foreseeable damage typical for the contract. Liability under mandatory statutory provisions remains unaffected.

9. Data Protection

For the operation of the partner program, elixxier processes the partner’s personal data (master data, tax details pursuant to section 1, payout and revenue data, and attribution data from the partner link or discount code) and transmits payout data to the respective payment provider (Wise or PayPal). Settlement documents are retained in accordance with commercial and tax law requirements. Details are set out in our privacy policy.

10. Changes

elixxier may notify changes to these terms with effect for the future in text form. Changes that do not alter the remuneration model to the partner’s detriment (e.g. editorial adjustments, new features) take effect four weeks after notification. In the case of changes to the remuneration model to the partner’s detriment, elixxier will separately highlight the change and the right to object; if the partner does not object within four weeks and thereafter continues to actively participate in the program, the changes are deemed accepted. If the partner objects, either party may terminate the partnership in accordance with section 7; until then, the previous terms apply.

11. Final Provisions

The law of the Federal Republic of Germany applies. If the partner is a merchant, a legal entity under public law or a special fund under public law, or has no general place of jurisdiction in Germany, the exclusive place of jurisdiction is Stuttgart. Should any provision be invalid, the validity of the remaining provisions remains unaffected. The German version of these terms is authoritative. The provider is elixxier Software GmbH (imprint).
